This English version of the TakumiX Demo Service Terms of Use is prepared for reference purposes only. If there is any discrepancy or inconsistency between the Japanese version and this English version, the Japanese version shall prevail.

Article 1 (Scope of Application)

These Terms of Use (these “Terms”) set forth the conditions for the use of the voice AI agent trial (demo) function and other related functions (the “Demo Service”) provided by SORABITO Inc. (the “Company”) on the designated “TakumiX” website. Any individual or corporation that uses the Demo Service (the “User”) shall use the Demo Service upon agreeing to these Terms.

Article 2 (Definitions)

In these Terms, the terms listed in the following items shall have the meanings set forth in the respective items.

  • “Input Data” means the voice or text input by the User to the Demo Service, the reference URL input by the User and the information posted at such URL, and any and all other information provided by the User to the Demo Service.
  • “Conversation Data” means, among the Input Data, the content of the User’s voice input and the responses generated by the Company, and is included in the Input Data.
  • “Output” means the responses (including voice and text) generated by AI in the Demo Service.
  • “Infrastructure Provider” means a third party that provides the technical infrastructure for voice synthesis, voice recognition, dialogue, and the like that the Company uses to provide the Demo Service (Eleven Labs Inc. and its affiliates (“ElevenLabs”), and other providers selected by the Company depending on the project).
  • “LLM Provider” means a third-party provider of large language models (LLMs) used by the Company or an Infrastructure Provider (Anthropic, ElevenLabs, Google, OpenAI, and other providers selected by the Company depending on the project).

Article 3 (Positioning of the Demo Service)

The Demo Service is a trial version intended to allow users to experience the functions of the voice AI agent provided by the Company, and is not intended for commercial use or use in actual operations. The content or specifications of the Demo Service may be changed without prior notice at the Company’s discretion, and the provision of the Demo Service may be suspended or terminated without prior notice at the Company’s discretion. The User agrees in advance to such changes, suspension, and termination, and the Company shall bear no liability whatsoever for any damage incurred by the User as a result of such changes, suspension, or termination.

Article 4 (Indication that Responses Are Generated by AI)

The voice responses in the Demo Service are automatically generated by artificial intelligence (AI), not by a human. The User shall use the Demo Service at its own responsibility, understanding that the counterpart of the conversation conducted through the Demo Service is AI.

Article 5 (Recording, Processing, and Provision to Third Parties of Conversations)

In connection with the use of the Demo Service, Conversation Data is recorded and stored, and is processed for the provision, improvement, and quality control of the Demo Service. Conversation Data and other Input Data may be transmitted to and shared with the Infrastructure Providers and LLM Providers that are the Company’s subcontractors, and may be processed through the services of these providers. The details of the handling of such data are as set forth in Article 6 and the Company’s Privacy Policy.

Article 6 (Handling of Personal Information; Cross-Border Transfer)

1. The Company shall handle the User’s name, email address, Conversation Data, Input Data, and other personal information acquired in connection with the use of the Demo Service in accordance with the Company’s Privacy Policy.

2. The User’s personal information (including voice data) may be stored or otherwise processed outside Japan, including in the United States, by the Infrastructure Providers and LLM Providers that are the Company’s subcontractors. Information regarding the name of the foreign country to which the data is transferred, the personal information protection system of such foreign country, and the protective measures taken by the transferee provider shall be provided as set forth in the Company’s Privacy Policy or upon the User’s request. By using the Demo Service, the User consents to the handling of personal information, including such cross-border transfers.

Article 7 (Consent Regarding Voice)

The User’s voice may contain information capable of identifying an individual based on its vocal characteristics (including information that may fall under an individual identification code under the Act on the Protection of Personal Information). By using the Demo Service, the User consents to the processing of such voice data by the Company and the Company’s subcontractors for the provision of the Demo Service, conversation processing, quality control, prevention of unauthorized use, ensuring of safety, and service improvement.

Article 8 (Prohibited Acts)

In using the Demo Service, the User shall not engage in any of the following acts.

  1. (1) Acts that violate laws and regulations or public order and morals;
  2. (2) Acts that infringe the intellectual property rights (as defined in Article 12), privacy rights, portrait rights, honor, or other rights of others (including acts that directly or indirectly cause such infringement);
  3. (3) Acts of impersonating others, or of reproducing or imitating a voice without authorization;
  4. (4) Acts of inputting or generating violent, discriminatory, defamatory, obscene, or otherwise inappropriate content;
  5. (5) Acts of inputting or generating sexual or exploitative content involving children;
  6. (6) Acts of inputting the URL of a website for which the User has no right to use, a page requiring login, a page on which crawling or analysis is prohibited, or a page containing the confidential information, personal information, or copyrighted works of a third party;
  7. (7) Acts of causing the unauthorized analysis, reproduction, or summarization of a third party’s copyrighted works;
  8. (8) Acts of analyzing or reverse-engineering the Demo Service, or attempting to ascertain the underlying technology or source code;
  9. (9) Acts of using the Demo Service or the services of the Company’s subcontractors to develop a competing product or service, or of conducting benchmarking or performance analysis for competitive purposes;
  10. (10) Acts of prompt injection, jailbreaking of the AI model, or otherwise attempting to improperly alter the responses or behavior of the Demo Service or to interfere with its intended functions;
  11. (11) Acts of transmitting or inputting viruses, malware, or other harmful programs;
  12. (12) Acts of mass access by automated means, scraping, or otherwise imposing an excessive load, unauthorized access to the Demo Service, or otherwise interfering with its operation;
  13. (13) Acts of using the Demo Service for commercial purposes or actual operations;
  14. (14) Acts of using the Output as the final basis for professional judgments such as legal compliance, construction methods, safety management, or the necessity of equipment installation;
  15. (15) Any other acts that the Company deems inappropriate.

Article 9 (Prohibition on Inputting Sensitive Information, Confidential Information, etc.)

1. In inputting to the Demo Service (including voice input), the User shall not input the following information:

  • Particularly sensitive personal information such as credit card numbers, bank account numbers, My Number, health insurance card numbers, medical history, and other health information;
  • Trade secrets, non-public information of customers or business partners, estimates, transaction terms, and other information subject to confidentiality obligations (including, but not limited to, information subject to confidentiality obligations under contracts with third parties, and information subject to confidentiality obligations under contracts with, or the work rules of, the company to which the User belongs);
  • Business materials containing personal data, and materials requiring confirmation of the authority to disclose or analyze them in relation to third parties, such as architectural drawings, construction drawings, and safety management materials.

2. The Company may delete, mask, or take other necessary measures with respect to information input to the Demo Service that falls under any item of the preceding paragraph. The Company shall not be liable, to the extent permitted by law, for any consequences arising from the User’s input of information in violation of the preceding paragraph.

Article 10 (Rights and Authority Concerning Input Data)

The User represents and warrants that it has the rights, authority, licenses, and consents necessary to input the Input Data into the Demo Service and to cause the Company, the Infrastructure Providers, and the LLM Providers to process and use it within the scope set forth in these Terms. The User shall not input information that infringes the rights of a third party or violates confidentiality obligations or other contractual or legal obligations.

Article 11 (Eligibility (Use by Minors))

The Demo Service may be used only by persons who are 18 years of age or older. Persons under 18 years of age may not use the Demo Service.

Article 12 (Intellectual Property Rights)

The intellectual property rights in the Demo Service and the software, content, trademarks, and all other related matters (meaning copyrights, patent rights, utility model rights, trademark rights, design rights, and other intellectual property rights (including the rights to acquire such rights or to apply for registration thereof); the same applies hereinafter) belong to the Company or the Company’s legitimate right holders (including the Infrastructure Providers that are the Company’s subcontractors). The User may not use these beyond the scope licensed under these Terms.

Article 13 (Relationship Between the Company and Its Subcontractors)

1. Although the Company uses the technology of the Infrastructure Providers in providing the Demo Service, the Company is not an agent, partner, or joint venturer of the Infrastructure Providers. The Company’s liability to the User in connection with the Demo Service shall be borne by the Company within the scope set forth in these Terms.

2. Although ElevenLabs is not a party to these Terms, it may have certain rights as a result of the Company and the User having rights and bearing obligations under these Terms. In addition, among the other Infrastructure Providers or LLM Providers used by the Company, any provider that, under its contract with the Company, requires a status similar to that of ElevenLabs under this paragraph (a status of having certain rights as a result of the Company and the User having rights and bearing obligations under these Terms) may also have such status.

Article 14 (Handling of Data and License to Process)

1. The User grants the Company, the Infrastructure Providers, and their affiliates and subcontractors (including the LLM Providers) a non-exclusive right to process and use the Input Data and technical logs within the following scope:

  • Target data: Conversation Data, other Input Data (including reference URLs and information at such URLs), technical logs, and the like;
  • Purpose of use: the provision, maintenance, quality control, ensuring of safety, prevention of unauthorized use, and improvement of the Demo Service.

2. The Company shall not, in principle, use the Input Data for the learning or training of the Company’s own generative AI models. However, the handling of data by the Infrastructure Providers or LLM Providers shall be governed by the contractual terms, privacy policies, settings, and technical specifications of each provider. By using the Demo Service, the User understands and consents that data processing by these third parties may occur.

Article 15 (Disclaimer; Notes on AI Output)

1. The Demo Service is provided on an “as is” basis, and the Company makes no warranty whatsoever, whether express or implied, as to its accuracy, completeness, usefulness, fitness for a particular purpose, continuous provision, or freedom from errors or interruptions.

2. The Output is reference information intended for informational purposes and does not constitute medical, legal, financial, architectural, or other professional advice. The Output may contain material errors even if it appears detailed or specific. The User shall use the Output after verifying and confirming its content at its own responsibility, and the Company shall be exempted, to the extent permitted by law, from liability for the content of the Output and for the User’s actions based thereon.

3. Due to the nature of generative AI, the Output is not necessarily unique, and the same or similar Output may be generated for other users. Furthermore, the Company does not warrant that the Output is protected by copyright or other intellectual property rights.

Article 16 (Limitation of Liability)

Where the Company bears liability for damages to the User in connection with the Demo Service, except in cases of willful misconduct or gross negligence on the part of the Company, the damages to be compensated by the Company shall be limited to ordinary and direct damages. The Company shall not be liable for lost profits, loss of data, business interruption, damage to reputation, special damages, or indirect damages, even if the Company was informed in advance of the possibility thereof. The Demo Service is provided free of charge. However, in the event that any part of this Article is rendered invalid by the Consumer Contract Act or other applicable laws and regulations, this Article shall apply only to the extent permitted by such laws and regulations.

Article 17 (User’s Indemnification Obligation)

If the User violates these Terms, or if a dispute arises with a third party in connection with the use of the Demo Service, the User shall resolve it at its own responsibility and expense, and if the Company incurs damage (including where the Company bears an indemnification obligation to an Infrastructure Provider or other third party), the User shall compensate for such damage.

Article 18 (Suspension of Use)

The Company may suspend or restrict the User’s use of the Demo Service without prior notice if the User violates these Terms, if there is a request or notice for suspension of use from an Infrastructure Provider that is the Company’s subcontractor, or if the Company otherwise deems it necessary.

Article 19 (Exclusion of Anti-Social Forces)

1. The User represents and warrants to the Company that, as of the date of commencement of use of the Demo Service, neither the User itself nor its officers (meaning directors, corporate auditors, executive officers, executive managers, or others who substantially participate in management regardless of title; the same applies hereinafter) or shareholders fall under anti-social forces (meaning organized crime groups (boryokudan), members of organized crime groups, quasi-members of organized crime groups, persons for whom five years have not elapsed since they ceased to be a member or quasi-member of an organized crime group, enterprises affiliated with organized crime groups, corporate racketeers (sokaiya), groups engaging in criminal activities under the pretext of conducting social campaigns, crime groups specialized in intellectual crimes, or other groups or individuals that pursue economic benefits using violence, force, or fraudulent methods; the same applies hereinafter), and that the User itself does not fall under any of the following items, and undertakes that it will not fall under any of them in the future:

  • Having a relationship in which anti-social forces are deemed to control its management;
  • Having a relationship in which anti-social forces are deemed to be substantially involved in its management;
  • Having a relationship in which anti-social forces are deemed to be unjustly utilized;
  • Having a relationship in which it is deemed to be involved in providing funds or the like to, or affording conveniences to, anti-social forces;
  • Having a relationship between its officers or shareholders and anti-social forces that is socially condemnable.

2. The User undertakes to the Company that it will not, by itself or by using a third party, engage in any of the following acts:

  • Violent demanding acts;
  • Unreasonable demanding acts beyond legal responsibility;
  • Acts of using threatening words or conduct, or using violence, in connection with transactions;
  • Acts of spreading rumors, or using deceptive or forceful means to damage the Company’s credit or interfere with its business;
  • Other acts equivalent to the preceding items.

3. If any matter contrary to any of the preceding paragraphs is found with respect to the User, the User shall immediately notify the Company in writing.

4. If the User violates any of the preceding paragraphs (including a breach of the representations and warranties), the Company may suspend the use of the Demo Service without any need for demand. In such case, the User shall compensate the Company for any damage incurred by the Company, and may not claim compensation for any damage incurred by the User due to the cancellation.

Article 20 (Changes to the Terms)

When the Company changes these Terms, it shall notify users of the content of the amended Terms and the effective date thereof by posting them on the Demo Service or by other means the Company deems appropriate. When making material changes, the Company shall endeavor to provide notice with a reasonable advance notice period. The amended Terms shall apply from such effective date, and if the User uses the Demo Service on or after the effective date, the User shall use the Demo Service in accordance with the amended Terms.

Article 21 (Severability)

Even if any provision of these Terms or any part thereof is determined to be invalid or unenforceable under applicable laws and regulations, the remaining part of such provision and the other provisions of these Terms shall continue to be valid and effective.

Article 22 (Governing Law; Jurisdiction)

These Terms shall be governed by the laws of Japan, and the Tokyo District Court shall be the exclusive agreed jurisdictional court of first instance for any dispute arising between the Company and the User in connection with the Demo Service or these Terms.
